These Terms of Service (“Terms”) govern access to and use of Qwixl Academy (“Academy”, “the Service”).

Academy is supplied by Qwixl Ltd (“Qwixl”, “we”, “us”) to schools, academies, and multi-academy trusts (each a “Customer” or “School”) under a signed Agreement (Order Form, Master Services Agreement, Product Terms, Data Processing Agreement, and applicable SLAs). Where you use Academy as an Authorised User of a School, you also agree to these Terms to the extent they apply to your use.

These public Terms do not replace the signed Agreement with a School. Fees, liability caps, suspension, exit, data processing instructions, and service credits between Qwixl and the School are governed by the Agreement. If these Terms conflict with the signed Agreement on a matter between Qwixl and the School, the Agreement prevails.

Full Terms

Part A — Common

1. Agreement to terms

By accessing or using Academy you agree to these Terms. If you do not agree, you must not use the Service. Creating or using an account (including signing in with a school identity provider such as Google or Microsoft) constitutes acceptance of these Terms for your use of Academy.

If you use the Service for a School or other organisation, you confirm you have authority to bind that organisation to these Terms only to the extent they apply to website and Authorised User use, and that your use is authorised by that organisation. Commercial, liability, and processor terms between Qwixl and the School are set out in the signed Agreement and are not varied by browsing these public pages.

3. Eligibility and accounts

You may use Academy only if you are an Authorised User of a Customer tenant, a person browsing public pages (such as sign-in or these legal pages), or otherwise invited by Qwixl for a legitimate purpose (for example a pilot evaluation under an Order Form).

You are responsible for the accuracy of account details you control and for keeping credentials secure. You are responsible for activity under your account unless caused by Qwixl’s breach or a security incident Qwixl fails to address in line with its obligations. Notify security@qwixl.com of suspected compromise promptly. Customers must promptly disable leavers and users who no longer require access.

Where you sign in with Google, Microsoft, or another identity provider, you must also comply with that provider’s terms. Academy uses identity data from those providers for authentication and account linking as described in the Academy Privacy Policy.

4. Licence and intellectual property

Qwixl and its branding, software, documentation, and design are owned by Qwixl or its licensors. Subject to these Terms and the Agreement, Qwixl grants Authorised Users a non-exclusive, non-transferable, non-sublicensable right to access and use Academy for the Customer’s internal educational and operational purposes during the Term.

You retain ownership of Content you create. You grant Qwixl a licence to host, process, transmit, display, and otherwise use that Content solely as needed to provide and secure the Service, comply with law, and as otherwise permitted under the Agreement (including use of Anonymised Data and Aggregated Data).

If you provide suggestions or feedback about Academy, Qwixl may use that feedback to improve the Service without obligation to you, provided it does not require disclosure of pupil Personal Data outside the Services.

You must not remove proprietary notices or reverse engineer the Service except where such restriction is prohibited by law.

5. Acceptable use

You must use Academy only for lawful purposes. You must not, and Customers must not permit Authorised Users to:

Qwixl may investigate suspected breaches and may suspend access where reasonably necessary to protect pupils, Customer Data, the Service, or other customers, in line with the MSA.

6. Subscriptions, fees, suspension, and cancellation (School customers)

School subscriptions, fees, renewals, late payment, suspension, termination, and exit are governed by the Order Form and MSA. For transparency only (not a substitute for the MSA):

Where payment is taken by card, Stripe processes payment; Qwixl does not store full card numbers.

If Academy offers any public self-serve paid plan in future, the price, interval, and inclusions will be shown before purchase; renewal and cancellation mechanics will be described at purchase and in-account. Until then, school billing follows the signed Agreement.

Refunds, if any, follow the Agreement or the applicable refund statement at purchase.

7. Changes to the Service

Qwixl may change, add, or remove features. Material reductions in core Services functionality during a paid Term are handled under the Product Terms (including notice periods where practicable and a termination/refund right in defined cases). Pilot, beta, early access, and preview features may change without standard deprecation notice and are excluded from SLA credits unless the Order Form states otherwise. Items marked Planned on the Roadmap Schedule are not warranties until marked Implemented.

8. Data protection

Personal data is handled as described in the Academy Privacy Policy. For Customer Data, the School is the controller and Qwixl is the processor under the Academy DPA. Consumer Qwixl products are covered separately at www.qwixl.com/privacy and are not Academy.

9. Warranties and disclaimers

Qwixl provides the Service with reasonable skill and care. Except as expressly stated in the Agreement or these Terms, and to the fullest extent permitted by law, the Service is provided “as is” and “as available”, and Qwixl does not warrant that it will be uninterrupted or error-free.

AI outputs and SEN-related signals are assistive decision-support information. They are not a medical diagnosis, educational diagnosis, determination of SEN status for statutory purposes, or a substitute for professional assessment, SENCO processes, or clinical advice. Qwixl does not supply legal advice, DSL services, or clinical services.

10. Limitation of liability

Between Qwixl and a School: liability is solely as set out in the MSA (including uncapped liability for death/personal injury caused by negligence, fraud, and non-excludable liability; aggregate cap of Fees paid or payable for Academy in the twelve months preceding the claim; exclusion of indirect/consequential loss to the extent permitted; SLA credits as exclusive remedy for corresponding SLA failures; no elevated data-protection super-cap). These public Terms do not increase or replace that School liability regime.

Between Qwixl and an individual Authorised User (to the fullest extent permitted by law): Qwixl’s total liability arising from these Terms or the Service in any twelve-month period is limited to the greater of (a) £100 and (b) the amount (if any) you personally paid Qwixl for Academy access in that period. Qwixl is not liable for indirect or consequential loss, or loss of profit, revenue, or goodwill. Nothing excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded by law.

Consumer rights caveat. If you are a consumer under UK law, nothing in these Terms excludes or limits liability or rights that cannot be excluded or limited under the Consumer Rights Act 2015 or other mandatory consumer law. Academy is primarily supplied under B2B contracts with Schools; most Authorised Users access Academy through their School rather than as personal paying consumers.

School–user disputes about education decisions remain between the user and the School.

11. Indemnity

Adults and organisations. To the extent permitted by law, if you are aged 18 or over (or are acting for a Customer), you agree to indemnify Qwixl against claims, losses, and reasonable costs arising from your Content, your misuse of the Service, or your breach of these Terms, except to the extent caused by Qwixl’s breach or negligence.

Minors. Nothing in these Terms requires a pupil or other minor under 18 to indemnify Qwixl. Schools remain responsible under the Agreement for Authorised Users’ compliance, including use by pupils.

12. Suspension and termination

You may stop using Academy at any time. Customers may terminate under the MSA. Qwixl may suspend or terminate access for breach, non-payment, security, safeguarding risk, failure to maintain Required Wonde permissions where that creates material risk, or legal reasons as set out in the Agreement. On termination, access ends and Customer Data is handled under the Privacy Policy, DPA, and MSA exit rules (including export windows and non-payment grace retention summarised in section 6).

13. Changes to these Terms

Qwixl may update these Terms and will revise the “Last updated” date. Material changes will be notified to Customers by email or in-app notice where appropriate. Continued use after changes take effect is acceptance of the updated Terms for Authorised User obligations under these public Terms; if you do not agree, you must stop using the Service. Changes to the signed Agreement with a School require the process stated in that Agreement and are not effected solely by updating this webpage.

14. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you keep the protections of the law of your country of residence (and the jurisdiction of its courts) where they cannot be disapplied.

Part B — Academy-specific

16. School customers and the signed Agreement

Academy is sold on supplier-fixed product terms. Order Form options are limited to:

All other Academy features described in the Product Terms (core teaching platform; Wonde MIS sync under Required permissions; AI tutor at the purchased tier; SEN-related visibility and signals; parent features as released; timetable/lessons; assessment context as supported) form part of the standard Service.

How contracting works is summarised on Security & compliance: discovery → standard pack → School legal/DPO/procurement review → sign and pay → go-live with Wonde Required permissions.

Precedence on contractual matters (highest first), matching the MSA:

  1. 1. Order Form (commercial fields);
  2. 2. MSA;
  3. 3. Product Terms;
  4. 4. other schedules expressly incorporated (other than DPA and SLA, which follow below).

On data-protection matters, the DPA prevails. On service levels and credits, the SLA prevails (except pilots: no credits). Privacy notices issued to staff, parents, or pupils are transparency documents; they do not vary commercial liability unless expressly incorporated on the Order Form. The Roadmap Schedule does not create warranties.

Where Customer is subject to FOIA / EIR, disclosure of the Agreement is governed by the MSA; final disclosure decisions remain with Customer as the public authority (or equivalent).

17. Authorised Users (staff, pupils, parents)

Staff must use least-privilege access, follow School SEN/safeguarding/acceptable-use policies, and treat SEN signals and AI outputs as assistive only.

Pupils must use Academy as directed by their School, must not attempt to access others’ accounts or data, and must not misuse AI features. Pupils are not asked to accept commercial School terms beyond these Authorised User rules.

Parents/carers may access only information about linked child(ren) as the School and product allow. Formal education-record rights requests go to the School.

Customers remain responsible for Authorised Users’ use of Academy, including actions taken on SEN-related signals or AI outputs.

18. Artificial intelligence and SEN features

Where AI tutor or other generative AI features are available under the Customer’s LLM tier, Qwixl discloses AI use in-product or in linked documentation where practicable. Customers must ensure appropriate human oversight.

Customer pupil Content and training: Qwixl shall not use Customer pupil Content to train foundation models for the benefit of other customers. “Content” for this purpose means pupil-generated inputs and outputs processed in the Customer’s tenant (including tutor chats and submissions), excluding Anonymised Data and Aggregated Data that Qwixl may use under the MSA. Sub-processors providing model inference may process Content solely to generate responses for the Customer’s use, subject to the DPA.

Qwixl maintains a GenAI product safety mapping for Academy against applicable Department for Education generative AI product safety expectations. That mapping does not expand warranties beyond the MSA.

SEN features: SEN status displays, indicators, alerts, and evidence tools are signals for professional review. They are not diagnoses. Human oversight is required. No decision producing legal or similarly significant effects on a pupil may be based solely on automated Academy outputs. Identifiable SEN-related information is limited to Close Contacts under product rules. Customers control how signals are used in EHCP, ISP, pastoral, or related processes.

19. Wonde MIS sync

Use of Academy requires the Customer to connect Wonde and grant all permissions marked Required in the Wonde Permissions Schedule. Optional permissions may be declined (with related feature reduction). Permissions marked Not requested are outside Qwixl’s ask.

The Customer remains responsible for lawful basis (and Article 9 conditions where required) for Personal Data synced into Academy, and for MIS source accuracy. Qwixl is not responsible for Wonde’s terms, fees, or platform availability beyond the Wonde Sync SLA where incorporated. Further processor instructions are in the DPA and DPA Annex — Wonde.

20. Pilots and beta features

If the Order Form marks the engagement as a Pilot, SLA credits do not apply; Pilot fees (including zero) are as stated on the Order Form; Pilot features may be unstable. Feedback is licensed to Qwixl under the MSA Feedback clause without requiring disclosure of pupil Personal Data outside the Services.

Features labelled pilot, beta, early access, or preview are for evaluation and may be incomplete.

21. Safeguarding

Qwixl is not the Designated Safeguarding Lead for any Customer. Safeguarding concerns about a child must be escalated by Customer staff under the Customer’s safeguarding policy. Suspected platform abuse, security incidents, account compromise, or unlawful content on the Services must be reported promptly to security@qwixl.com. Qwixl responds under the Incident SLA (where incorporated) and the DPA where Personal Data is affected.

23. Entire agreement (Authorised Users) and general

For Authorised Users, these Terms plus the Privacy Policy and any in-product notices form the agreement with Qwixl regarding website and Authorised User use, except that employment, education, and parent–school relationships remain with the School, and the School–Qwixl Agreement governs Customer Data and commercial terms between Qwixl and the School.

If any provision is unenforceable, the remainder continues in effect. Failure to enforce a provision is not a waiver. These Terms do not create third-party rights under the Contracts (Rights of Third Parties) Act 1999 except as expressly stated.
